1. Introduction

These Terms of Service ("Terms") govern your use of CutROOM, a desktop software application developed and published by NOVA DevWorks (SIRET: 932 532 294), located in France ("we", "us", "Publisher").

By purchasing, downloading, or using CutROOM, you agree to be bound by these Terms.

2. License Grant

Upon subscribing, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use CutROOM on one (1) device at a time
• Use the software for personal or commercial broadcast productions
• Receive updates during your active subscription period

3. Subscription & Pricing

• Price: €9.99/month (taxes may apply based on your location)
• Billing: Charged monthly via Stripe
• Renewal: Automatic renewal until cancelled
• Cancellation: Cancel anytime; access continues until end of billing period

4. License Activation

CutROOM requires license activation to verify your subscription status. The software may periodically verify your license online. A grace period of up to 7 days is allowed for offline use.

5. Restrictions

You may NOT:

• Share, sell, or transfer your license key to others
• Use the software on more than one device simultaneously
• Reverse engineer, decompile, or modify the software
• Circumvent or disable license verification
• Use the software for any illegal purpose

6. Intellectual Property

CutROOM and all associated intellectual property remain the exclusive property of NOVA DevWorks. Your subscription grants usage rights only, not ownership.

7. Disclaimer

CutROOM is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law, NOVA DevWorks shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid by you in the last 12 months.

9. Termination

We may terminate your license if you violate these Terms, engage in fraud, or initiate chargebacks. Upon termination, you must stop using and uninstall CutROOM.

10. Governing Law

These Terms are governed by the laws of France. Any disputes shall be subject to the jurisdiction of French courts.
